Terms of Service

1. Acceptance of Terms

By accessing or using the TurnkeyERP website and services ("Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our Services.

2. Description of Services

TurnkeyERP operates a two-sided marketplace connecting businesses ("Buyers") with vetted ERP consultants ("Consultants"). Our Services include:

• AI-assisted ERP requirements intake and BRD generation
• Productized ERP implementation packages with published pricing
• Consultant matching and project staffing
• Delivery methodology and QA gate framework
• Post go-live managed services

3. User Accounts

To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. Marketplace Terms

For Buyers: Published pricing is indicative. Final pricing is confirmed in a signed Statement of Work (SOW) after consultant review. All proposals are subject to scope validation.

For Consultants: Acceptance into the network requires completing our vetting process and agreeing to our code of conduct and delivery standards.

5. AI-Generated Content

Our AI intake agents generate draft BRDs, requirements dossiers, and indicative estimates. All AI-generated content is reviewed by a senior consultant before delivery. AI outputs are drafts and not binding commitments.

6. Intellectual Property

All content on the TurnkeyERP website, including text, graphics, methodology documentation, and software, is owned by TurnkeyERP and protected by intellectual property laws. Deliverables created during an engagement are governed by the applicable SOW.

7. Payment Terms

Payment terms are specified in each Statement of Work. Standard terms are milestone-based, aligned to our QA gate framework. Late payments may incur interest as specified in the SOW.

8. Limitation of Liability

To the maximum extent permitted by law, TurnkeyERP's total liability for any claim arising from or related to the Services shall not exceed the fees paid by you in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless TurnkeyERP from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

10. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms. You may stop using the Services at any time. Active project engagements are governed by the applicable SOW.

11. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law provisions.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the updated Terms.
